Management Board

The Management Board is a collective management body of the Company. The Management Board acts by virtue of the Articles of Association and the Regulations on the Management Board approved by the General Meeting Company Shareholders (Minutes No. 17 dated June 29, 2015) which establishes the timeframe and procedure for convocation and holding of its meetings as well as the resolutionmaking procedure.

Remuneration Paid to the Members of the Management Board

Financial incentives for the members of the Management Board in 2015 were determined in compliance with the Regulations on the Financial Incentives and Social Package for the Top Managers1 and the Regulations on the Labor Remuneration System for Executive Body Employees2. In 2015, the amount of remuneration paid to the members of the Management Board was 313.8 mln rubles (with Personal Income Tax), which is 10.5% lower than the amount paid in 2014.
